Legal Counsel - Corporate Secretary [Hungary]

Job Description

We are looking for a new Legal Counsel with corporate governance focus, to join the Green Assets Division of MET Group, with the following focus areas:

(1) Perform the duties of a Company Secretary:

Corporate governance

  • Organise and facilitate board meetings (including preparing agendas, minutes and resolutions) for the Renewables Management Board and other companies within the Green Assets Division of MET Group,
  • Ensure compliance with applicable laws, regulations, and in-house corporate governance policies.
  • Act as a liaison between the relevant boards and senior management,
  • Assist in preparing and distributing board and shareholder communications,
  • Maintain accurate and up-to-date corporate records, including company registers, minutes, and resolutions,
  • Exercise quality control over board proposals and resolutions.

Legal Compliance

  • Stay updated on relevant laws, regulations, and best practices in multiple jurisdictions where MET develops, constructs and operates renewable energy projects,
  • Ensure MET Green Assets Division’s activities and processes comply with legal and regulatory frameworks.

Corporate Documentation

  • Draft, review, and negotiate a variety of corporate documents, including articles of incorporations, board resolutions and power of attorneys,
  • Manage the Green Assets Division’s legal document management system.

(2) Draft and review commercial agreements in relation to the acquisition, development, construction and operation of renewable energy power plants across numerous European jurisdictions (e.g. Switzerland, Italy, Spain, Germany, Poland, Hungary and Bulgaria), including NDAs, Non-binding Offers, engagement letters, supply contracts.

(3) Risk Management and Compliance

  • Identify potential legal and regulatory risks and develop strategies to mitigate them,
  • Implement and monitor internal control systems to ensure compliance with legal and regulatory requirements.

(4) Coordinate with external legal counsels in relation to corporate governance procedures and commercial contracts.


Qualifications
  • Degree in law from a reputable university,
  • At least 5 years of experience,
  • Qualification or experience in a European jurisdiction,
  • Extensive experience in corporate governance, legal compliance, or company secretarial roles, preferably in a multinational company,
  • Strong knowledge of corporate laws, regulations, and governance principles, preferably across multiple jurisdictions,
  • Excellent written and verbal communication skills, with the ability to communicate complex legal concepts effectively,
  • Detail-oriented and well-organized with exceptional time management skills,
  • Ability to work independently, handle multiple tasks simultaneously, and meet deadlines.
